2. Engagement Terms

Project Agreement: All web development projects require a signed agreement outlining project scope, deliverables, timeline, and payment terms.

Project Timeline: Project timelines are estimates and may vary based on:

• Project complexity and scope
• Client feedback and approval cycles
• Content delivery by client
• Third-party integrations and dependencies

3. Payment Terms

Payment Structure:

• 50% deposit required before project commencement
• 25% payment upon design approval
• 25% final payment before website launch

Payment Methods: We accept bank transfers, credit cards, PayPal, and other agreed-upon payment methods.

Late Payments: Late payments may incur interest charges of 1.5% per month on the outstanding balance.

4. Client Responsibilities

To ensure successful project completion, clients agree to:

• Provide all necessary content, images, and materials in a timely manner
• Respond to queries and approval requests within 3 business days
• Provide accurate and complete project requirements
• Designate a single point of contact for the project
• Obtain necessary licenses for third-party materials
• Review and test the website during development phases

5. Intellectual Property Rights

Client Ownership: Upon full payment, you own:

• Final website design and code
• Custom graphics and content created for your project
• Domain name and hosting account (if purchased through us)

ITSolution Rights: We retain:

• Right to display the project in our portfolio
• Ownership of proprietary tools, frameworks, and libraries
• Right to reuse generic code components for other projects

6. Revisions and Modifications

Included Revisions: Each project phase includes up to 3 rounds of revisions.

Additional Revisions: Additional revisions beyond the included amount will be charged at our standard hourly rate.

Major Scope Changes: Significant changes to project scope may require a new agreement and additional fees.

7. Website Launch and Delivery

Before launching your website, we ensure:

• Complete testing across all major browsers and devices
• Performance optimization and speed testing
• Security implementation (SSL, encryption)
• SEO best practices implementation
• Client approval and sign-off

8. Warranty and Support

Warranty Period: We provide a 30-day warranty period after launch for bug fixes and minor adjustments.

Ongoing Support: After the warranty period, we offer optional maintenance packages including:

• Regular updates and security patches
• Performance monitoring
• Backup management
• Technical support (24/7)
• Content updates

9. Limitation of Liability

ITSolution shall not be liable for:

• Loss of profits, data, or business opportunities
• Website downtime caused by third-party hosting providers
• Issues arising from client modifications to the website
• Unauthorized access due to client negligence
• Indirect, incidental, or consequential damages

Our total liability shall not exceed the amount paid for the specific service giving rise to the claim.

10. Third-Party Services

Your website may integrate with third-party services (payment gateways, analytics, APIs). We are not responsible for:

• Third-party service disruptions or failures
• Changes in third-party terms or pricing
• Data handling practices of third-party services

11. Termination

By Client: You may terminate the project with written notice. You will be billed for all work completed up to the termination date.

By ITSolution: We may terminate the agreement if:

• Payment is not received as scheduled
• Client fails to provide required materials or feedback
• Client breaches any terms of this agreement

12. Confidentiality

Both parties agree to keep confidential all proprietary information shared during the project, including business strategies, customer data, and technical specifications.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which ITSolution operates, without regard to conflict of law principles.

14. Dispute Resolution

Any disputes arising from these Terms shall first be resolved through good-faith negotiations. If unresolved, disputes will be submitted to mediation or arbitration before pursuing litigation.

15. Amendments

ITSolution reserves the right to modify these Terms at any time. Continued use of our services after changes constitutes acceptance of the new Terms.
